Terms of Service
1. Who we are
Nodi (the “Service”) is provided by [company name – set LEGAL_COMPANY in config.php], ul. …, 00-000 Miasto, Poland, [registration, e.g. KRS number – set LEGAL_REGISTRATION in config.php], VAT ID [VAT ID – set LEGAL_VAT in config.php] (“we”, “us”). You can reach us at [contact email – set LEGAL_EMAIL in config.php].
2. The Service
Nodi is an online whiteboard for drawing diagrams, notes and flows, alone or together with others in real time. We may improve and change features over time; we’ll tell you in advance about changes that take away something you pay for.
3. Your account
- You need an account to create boards. Give a correct email address and keep your password to yourself. You’re responsible for what happens under your account.
- You must be at least 16 years old. If you create an account for a company, you confirm you’re allowed to accept these terms on its behalf.
- Tell us straight away at [contact email – set LEGAL_EMAIL in config.php] if you think someone else is using your account.
4. Plans and payment
- Free plan. Free of charge, with the limits shown in the app (for example the number of boards and image space). We may change the free plan’s limits; content you already have stays available.
- Paid plans are subscriptions billed in advance for each period (monthly or yearly) until you cancel. Prices are shown before you buy.
- Payments are handled by Paddle.com, our authorised reseller and merchant of record. Paddle sells the subscription to you, takes the payment, issues the invoice and handles taxes, refunds and payment questions under its buyer terms.
- You can cancel at any time in the app (Manage subscription). The paid plan stays active until the end of the period you’ve paid for, then the account moves to the free plan. Nothing is deleted: if you have more boards than the free plan allows, you keep them all but can’t create new ones until you’re under the limit.
- If you’re a consumer in the EU, you have a 14-day right of withdrawal from a paid subscription as described in Paddle’s buyer terms.
5. Your content
- What you put on your boards stays yours. You give us only the permission needed to store it, show it to you and to the people you share it with, make backups and run the Service.
- When you share a board by link, anyone with the link can open it (to view or edit, as you choose). Share links with care; you can make a board private again at any time.
- Don’t upload content you don’t have the right to use, or that is illegal.
6. Acceptable use
Don’t use the Service to break the law, to harm others, to send spam or malware, to try to get into other people’s accounts or our systems, or to put an unreasonable load on the Service. We may suspend an account that does this, and where the law requires it we may remove content and inform the authorities.
7. Availability and liability
- We work to keep the Service available and your data safe (including regular backups), but we can’t promise it will always be uninterrupted or error-free. Keep your own copies of anything critical (you can export boards as images).
- To the extent the law allows, our total liability is limited to the amount you paid us in the 12 months before the event, and we aren’t liable for indirect losses such as lost profits. Nothing in these terms limits liability that can’t be limited by law, or your rights as a consumer.
8. Ending
- You can delete your account at any time in the app (account menu → Delete account). Your boards and images are deleted with it; copies in backups disappear as backups are rotated (within 14 days).
- We may suspend or close an account that seriously or repeatedly breaks these terms. Where possible we’ll warn you first and give you time to take your content.
9. Changes to these terms
If we change these terms, we’ll tell you by email or in the app at least 14 days before the change applies (except for changes needed by law or for security). If you don’t agree, you can delete your account before then.
10. Law and disputes
These terms are governed by the law of Poland. Disputes go to the courts competent for our registered office, unless you’re a consumer: then you keep the protection of the law and courts of the country where you live. EU consumers can also use the EU online dispute resolution platform.
